Jakarta, May 19, 2026 – PT VKTR Teknologi Mobilitas Tbk (“VKTR” or the “Company”) convened its Annual General Meeting of Shareholders (“AGMS”) and Extraordinary General Meeting of Shareholders (“EGMS”) on Tuesday (19/5) in South Jakarta as a strategic move to reaffirm the acceleration of its transformation into a technology-driven mobility company. This was carried out through the strengthening of the Company’s latest management structure, designed to enhance leadership capabilities, accelerate innovation adoption, and reinforce VKTR’s position as a pioneer in commercial electric vehicles in Indonesia and a leader in the sustainable mobility industry.

During the AGMS, which was attended by members of the Board of Commissioners, the Board of Directors, and shareholders, the shareholders approved several strategic agenda items, including changes and/or reaffirmation of the Company’s management structure, approval of the Company’s Annual Report for the financial year 2025, and ratification of the consolidated financial statements for the financial year ended December 31, 2025. The meeting also approved the appropriation of the Company’s net profit for the 2025 financial year, as well as the appointment of a public accounting firm to audit the consolidated financial statements of the Company and its subsidiaries for the financial year ending December 31, 2026.

VKTR Vice President Commissioner, Anindya N. Bakrie, emphasized that the development of Indonesia’s electric vehicle industry requires consistency in investment and the courage to build a long-term industrial foundation. “The transition toward clean transportation requires more than ambition—it requires execution. In 2025, VKTR demonstrated tangible actions through the increasing operation of electric vehicles, strengthening domestic manufacturing capabilities, and measurable environmental impact. Moving forward, we aim to ensure that 2026 becomes a phase of acceleration, where Indonesia’s electric vehicles do not only grow as an industry, but also become a tangible solution for a more efficient, competitive, and sustainable national mobility system,” said Anindya.

Changes and/or Reaffirmation of the Company’s Management Structure

In line with the Company’s transformation agenda and the accelerated development of Indonesia’s electric mobility industry, VKTR presents a strengthened composition of the Board of Commissioners and the Board of Directors, comprising a combination of visionary leadership, cross-sector strategic experience, and strong expertise in technology and corporate governance.

The shareholders approved the changes to the composition of the Company’s Board of Commissioners, appointing Mr. Sharif Cicip Sutardjo as President Commissioner, alongside Mr. Anindya N. Bakrie, who continues to serve as Vice President Commissioner, and appointing Mr. Ilham A. Habibie as Commissioner. These appointments bring enhanced global capabilities in technology, industrial transformation, governance, and strategic leadership, thereby strengthening the Company’s direction, accelerating technology adoption, and reinforcing governance practices to support sustainable long- term growth. The latest composition of the Board of Commissioners, effective Wednesday (19/5), is as follows:

  1. Sharif Cicip Sutardjo – President Commissioner A senior figure with more than 40 years of strategic leadership experience across the public and private sectors, having held various key leadership positions in national business organizations and cross-sector corporate oversight. He served as Minister of Marine Affairs and Fisheries of the Republic of Indonesia (2011–2014) and holds a strong academic foundation in economics, politics, and law up to doctoral level. His role as President Commissioner of PT Bumi Resources Tbk further strengthens VKTR’s synergy within the Bakrie Group ecosystem, particularly in supporting the development of Indonesia’s electric vehicle value chain, sustainable mobility, and accelerating VKTR’s position as a strategic player in domestically manufactured commercial electric vehicles.
  2. Anindya N. Bakrie – Vice President Commissioner A cross-sector business leader with a strong track record in investment, technology, media, telecommunications, and mobility industries. He is widely recognized for driving corporate transformation and building global business networks. His leadership is further reinforced by his roles as President Director of PT Bakrie & Brothers Tbk, Chairman of the Indonesian Chamber of Commerce and Industry (KADIN Indonesia), leader of various international economic forums, and a key figure in advancing Indonesia’s business and sports diplomacy on the global stage.
  3. Dr. Ing. Ilham A. Habibie – Commissioner A technocrat and key figure in Indonesia’s strategic industrial sectors, with a strong track record of combining technological leadership, a vision for national industrial self-reliance, and a global perspective. He has extensive experience in driving transformation and innovation in the transportation sector. He also serves as Chairman of PT Visi Media Asia Tbk (VIVA), Chairman of PT Nusa Halmahera Mineral, and Commissioner of PT Ayoconnect Teknologi Indonesia.

In addition, the shareholders also approved changes to the composition of the Board of Directors, including the appointment of Mr. A. Ardiansyah Bakrie as President Director, reinforcing the continuity of the Company’s long-term vision. With a deep understanding of the Company’s business foundation, organizational structure, and strategic direction, this leadership is expected to accelerate transformation execution and strengthen sustainable growth in the next phase.

The shareholders further approved the appointment of Mr. Mochammad Yana Aditya as Director, strengthening the Company’s capabilities in operational optimization and disciplined, sustainable corporate management. Ms. S. Erika Mouna Hamizar was appointed as Director, accelerating the business transformation agenda and strengthening cross-industry corporate governance. Meanwhile, Ms. Indah Permatasari Saugi was appointed as Director, reinforcing strategic corporate communications, corporate reputation, investor relations, and integrated legal management.

The latest composition of the Board of Directors, effective Wednesday (19/5), is as follows:

  1. A. Ardiansyah Bakrie – President Director
    A business leader with cross-sector experience in infrastructure, technology, media, and digital transformation, bringing a strategic vision in building future industrial ecosystems. His prior experience as CEO of PT VKTR Teknologi Mobilitas Tbk and President Director of PT Bakrie Indo Infrastructure further strengthens VKTR’s position as a pioneer of national commercial electric vehicles and a key driver of low-emission mobility in Indonesia.
  2. Mochammad Yana Aditya – Director
    A senior executive with a proven track record in cross-industry leadership in business transformation, operational optimization, and corporate finance. He is recognized for leading organizations through growth phases and strategic restructuring, supported by his experience as CEO of PT Transportasi Jakarta (TransJakarta) and various leadership roles across transportation, holding companies, food, fisheries, pharmaceuticals, hospitality, media, and financial services sectors. His expertise spans corporate finance, governance, government relations, and strategic execution.
  3. S. Erika Mouna Hamizar – Director
    A senior business leader and strategic advisor with more than three decades of multinational experience across Asia, Australia, and Africa. She is recognized for her leadership in business transformation, enterprise risk management, and cross-industry corporate governance spanning mining, financial services, infrastructure, and agribusiness. Her leadership background includes roles at Sinar Mas Mining Group, Korn Ferry, Rajawali Corpora, and PT Freeport Indonesia, where she contributed to sustainable growth, organizational transformation, and operational excellence.
  4. Indah Permatasari Saugi – Director
    A senior executive in corporate affairs, strategic communications, legal, and stakeholder management with extensive experience in public listed companies, state-owned enterprises, and multinational corporations. She is recognized for her leadership in corporate communications, regulatory relations, governance, and capital market matters. Her career includes senior leadership roles at VKTR, InJourney, PT AirAsia Indonesia Tbk, and PT Sarana Multi Infrastruktur (Persero), with strong expertise in navigating complex regulatory and stakeholder environments.

The AGMS served as an important milestone for the Company to present its performance achievements and business developments for the 2025 financial year, reflecting the strengthening of VKTR’s business fundamentals amid the accelerating transition toward low-emission transportation in Indonesia. In 2025, VKTR recorded a 60% increase in electric vehicle sales compared to the previous year, reflecting growing adoption of commercial electric vehicles in the domestic market. The Company also completed the delivery of 50 electric buses for TransJakarta operations out of a total order of 80 units, with the remaining units delivered in the first quarter of 2026.

As of April 2026, VKTR’s electric vehicle fleet has recorded more than 17 million operational kilometers, contributing to an estimated reduction of approximately 15,000 tons of CO₂ emissions. This achievement reflects the Company’s tangible contribution to Indonesia’s transportation sector decarbonization agenda. The impact comes from more than 170 operational units deployed across various strategic sectors, both public and non-public.
